1. Service Provider and Scope

These Terms & Conditions (“Terms”) govern professional services provided by:

These Terms apply exclusively to Clients acting for purposes related to their trade, business or professional activity.

By accepting a quotation, the Client confirms that it is entering into the agreement for professional purposes and not as a consumer.

Services may include photography, content creation, modelling and other creative services expressly agreed with the Client.

The specific scope of each project is determined by the quotation, project brief, any specific contract and/or written communications approved by the Parties.

Where a specific written provision agreed for a project conflicts with these Terms, the specifically agreed provision will prevail for that project.

2. Quotations and Booking

Each service is subject to a quotation or written agreement setting out the nature and price of the project and, where relevant, the date, duration, deliverables and specific conditions.

Unless otherwise stated in the quotation, a 30% deposit of the total project fee is required to secure the booking.

A date is considered confirmed only once the quotation has been accepted and the required deposit has been effectively received.

Acceptance of the quotation constitutes acceptance of these Terms.

3. Fees

Fees are stated in euros and specified in the quotation provided to the Client.

Pricing may take into account the nature and duration of the project, location, creative and technical requirements, expected deliverables, required production team and the scope of the usage rights granted.

Services may therefore be individually priced according to the requirements of each project.

Any work or request falling outside the originally agreed scope may be subject to an additional quotation or additional fee, following prior information and agreement with the Client.

Unless otherwise stated in the quotation, no discount is granted for early payment.

4. Third-Party Providers and Production Team

Where necessary for a project, Noémie NZUZI may engage external providers, suppliers, production professionals or locations.

These may include, without limitation, studios or shooting locations, makeup artists, hairstylists, stylists, assistants, photographers, videographers, technicians, equipment rental providers or other professionals involved in the production.

Where these services or expenses are not already included in the quotation, they will be communicated to the Client and submitted for approval before being committed.

The Client acknowledges that third-party providers may apply their own booking, rescheduling and cancellation terms independently from these Terms.

Where the Client cancels or reschedules a project, only amounts actually committed to third parties which, under the relevant provider’s terms, cannot be refunded, cancelled without charge, credited or transferred to the new date will remain payable by the Client.

If only part of an amount is lost, only that part will remain payable.

Where an amount can be fully recovered or transferred to the new date without additional charge, it will not be charged to the Client a second time.

Any new third-party costs required for a rescheduled project will be communicated to the Client and submitted for approval before being committed.

No amount will be charged as a third-party expense unless the relevant expense was actually incurred.

Upon request, Noémie NZUZI may provide reasonable supporting documentation establishing the nature and amount of the relevant third-party expense.

5. Responsibilities and Project Preparation

Noémie NZUZI will perform the agreed services with reasonable professional care and in accordance with the elements expressly agreed with the Client.

The Client must provide all information reasonably necessary for the preparation and performance of the project within the required timeframe, including the project brief, schedules, contact information, technical requirements, location information and any authorisations for which the Client is responsible.

The Client is responsible for the accuracy of the information it provides.

Noémie NZUZI will not be responsible for consequences directly resulting from incomplete, inaccurate or late information provided by the Client where this affects or prevents proper performance of the services.

6. Changes to the Project

Any material change to the project after acceptance of the quotation must be communicated as soon as possible.

This includes changes to the brief, creative direction, date, location, schedule, duration, quantity or nature of deliverables, production team, technical requirements or requested usage rights.

Where a change results in additional work, time, expenditure or rights, it may affect the project schedule and may be subject to an additional quotation or fee.

7. Client Delays

The Client is expected to be present and available at the agreed starting time. Any delay should be communicated to Noémie NZUZI as soon as possible.

A Client delay does not automatically extend the agreed finishing time.

Delay of less than 30 minutes

The service will be performed within the remaining reserved time, with no automatic extension.

Delay between 30 minutes and 1 hour

The service may be maintained within the remaining reserved time. If the Client wishes to recover the lost time, any extension will be subject to Noémie NZUZI’s availability and may incur an additional fee.

Delay exceeding 1 hour

Noémie NZUZI may decide whether the service can reasonably proceed, taking into account the project requirements, schedule, availability of the location and production team and the practical ability to complete the work appropriately.

If the service proceeds, it will be performed within the remaining available time. Any extension, reorganisation or additional expense directly caused by the delay may be charged following notification to the Client.

Delay making the service impossible

Noémie NZUZI is not required to wait for three hours where the circumstances already make the service impossible or materially compromise its proper performance.

This may include restrictions relating to studio or location opening hours, the required departure of a production team member, another professional commitment, necessary lighting conditions or another objective production constraint.

Delay exceeding 3 hours

A delay exceeding three hours may be treated as a no-show and the provisions of Section 10 may apply.

Deliverables that cannot reasonably be produced because of the Client’s delay will not constitute a failure by Noémie NZUZI to perform the agreed services.

8. Rescheduling by the Client

All requests to reschedule must be made in writing.

More than 14 calendar days before the service

Where the Client requests a reschedule more than 14 calendar days before the scheduled service, the deposit already paid will be fully transferred to the new date, with no additional deposit required.

The new date will be mutually agreed and remains subject to Noémie NZUZI’s availability.

The deposit may be transferred once per booking.

Any subsequent request to reschedule will be considered on a case-by-case basis and may require a new booking and a new deposit. Third-party costs will be handled in accordance with Section 4.

14 calendar days or less before the service

A rescheduling request made 14 calendar days or less before the scheduled service will be considered on a case-by-case basis, taking into account Noémie NZUZI’s availability, the stage reached in the project and commitments already made to third parties.

Acceptance of such a rescheduling request is not automatic.

9. Cancellation by the Client

All cancellations must be made in writing.

More than 14 calendar days before the service

Where the Client permanently cancels more than 14 calendar days before the scheduled service, the deposit will be refunded. Any amounts relating to third-party providers will be handled in accordance with Section 4.

Between 48 hours and 14 calendar days before the service

Where the Client cancels between 48 hours and 14 calendar days before the scheduled service, the 30% deposit will be retained by Noémie NZUZI. Any third-party costs will be handled in accordance with Section 4.

Less than 48 hours before the service

Where the Client cancels less than 48 hours before the scheduled starting time, a cancellation fee equal to 50% of the total project fee stated in the quotation will be payable. Any deposit already paid will be deducted from this amount. For example, for a €1,000 service with a €300 deposit already paid, the total cancellation fee is €500. The remaining amount payable is therefore €200.

Amounts due in relation to third-party providers under Section 4 may be added where they correspond to expenses actually committed and lost.

10. Client No-Show

Where the Client does not attend the service at the agreed date and time without having previously cancelled or obtained an agreed rescheduling, the absence will be considered a no-show.

A fee equal to 50% of the total project fee stated in the quotation will be payable, less any deposit already paid. Third-party costs may also remain payable in accordance with Section 4.

Noémie NZUZI is under no obligation to provide a replacement date free of charge. Any new booking may require a new quotation and deposit.

11. Cancellation by Noémie NZUZI

If Noémie NZUZI is exceptionally unable to perform a confirmed service, the Client will be informed as soon as reasonably possible. Where possible, an alternative date will be proposed.

The Client remains free to accept or decline the proposed rescheduling.

Where no alternative date can be agreed, Noémie NZUZI will refund in full the deposit and any other amounts actually paid by the Client to Noémie NZUZI for the cancelled service.

The refund will be made within a maximum of 14 calendar days from written confirmation of the cancellation and confirmation that no alternative date has been agreed.

No amount received by Noémie NZUZI for a service that she has not performed will be retained.

Where the inability to perform results from an event legally qualifying as force majeure, Section 23 will apply.

12. Presentation, Revisions and Approval

Where the service includes the creation and retouching of photographs or other content, Noémie NZUZI may present the completed work to the Client before final delivery.

This may be done through a gallery, previews or another appropriate method. The Client may therefore review the completed and retouched work before receiving the final files.

Unless otherwise stated in the quotation, one round of minor revisions within the originally agreed brief is included.

Revision requests must be grouped together and submitted within 7 calendar days of presentation of the relevant content.

Revisions must remain consistent with the originally agreed brief and creative direction.

Additional revision rounds, substantial changes, new selections or changes in creative direction may be subject to an additional fee.

Where the Client delays providing a selection, approval, information or other element required to continue the work, the applicable production or delivery deadlines will be suspended for the duration of that delay.

13. Payment and Final Delivery

Unless otherwise stated in the quotation, a 30% deposit of the total project fee is payable upon booking.

The remaining balance must be paid before the final files are released to the Client.

Presentation of the work under Section 12 allows the Client to review the completed work but does not constitute final delivery.

The complete final files will only be released after effective receipt of all amounts due for the project.

A screenshot, transfer confirmation or other evidence that a bank transfer has been initiated does not constitute effective receipt of payment.

Previews, proofing galleries or other versions made available before full payment may not be published, distributed, commercially exploited, reproduced or provided to third parties as final files.

Unless expressly agreed otherwise in writing, raw, unselected or unretouched files are not included in the final delivery.

14. B2B Payment Terms and Late Payment

The applicable payment due date will be stated in the quotation and/or invoice and will comply with the payment periods permitted under French law for transactions between professionals.

Any amount not paid by its due date will automatically give rise, from the day following the payment date stated on the invoice and without prior reminder, to late-payment interest.

The applicable late-payment interest rate will be equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points.

A professional Client in late payment will also automatically owe the statutory fixed compensation of €40 for recovery costs.

Where the recovery costs actually incurred exceed this fixed amount, additional compensation may be claimed upon supporting evidence where permitted by applicable law.

15. Performance and Subjective Satisfaction

Noémie NZUZI will perform the services in accordance with the quotation, brief and elements expressly approved between the Parties.

The Client acknowledges having had the opportunity to review Noémie NZUZI’s portfolio, visual style, artistic approach and previous work before commissioning the service.

Noémie NZUZI undertakes to provide the agreed services and deliverables but cannot guarantee the Client’s subjective satisfaction where the work complies with the elements previously agreed.

A personal or subjective preference concerning style, aesthetics, visual rendering, creative direction or taste does not, by itself, constitute non-performance or defective performance and does not, by itself, entitle the Client to a refund.

Where an actual error or non-conformity attributable to Noémie NZUZI exists in relation to the elements expressly agreed, the Client’s request will be reviewed and, where reasonably possible and appropriate, the necessary correction will be made.

16. Intellectual Property

Payment for a service does not automatically transfer all intellectual property rights relating to photographs or other creative works produced by Noémie NZUZI.

Subject to any applicable third-party rights, creative works produced by Noémie NZUZI remain protected under applicable intellectual property law.

The Client receives only the usage rights expressly granted under the licence applicable to the relevant project.

17. Usage Licence

The permitted use of photographs and other creative works will be determined according to the requirements of each project.

The applicable licence will be specified in the quotation, contract, commercial proposal or another written agreement approved by the Parties. Depending on the project, the licence may specify:

  • Authorised media and platforms, including social media, websites, e-commerce, newsletters, press, outdoor advertising, printed materials and point-of-sale materials;

  • The nature of the permitted use, including organic content, commercial communication, editorial use, institutional communication, advertising, sponsorship or paid media;

  • The duration of the licence;

  • The authorised territory;

  • The brands, companies, accounts, entities or other beneficiaries authorised to use the content;

  • Any applicable credit requirements;

  • Any expressly authorised adaptations.

No usage licence becomes effective until all amounts due for the project have been received in full.

Viewing or reviewing the content before full payment does not grant the Client any right to use or exploit it.

Any use that is not expressly included in the licence is not deemed authorised.

For example, content licensed solely for organic social media use may not automatically be used for paid media, advertising campaigns, outdoor advertising, print, e-commerce or another use not originally included.

Any extension of the licence in relation to its duration, territory, media, beneficiaries or type of use requires Noémie NZUZI’s prior approval.

Such an extension may be subject to an additional licence fee, to be agreed before the new use begins.

18. Integrity and Alteration of Content

Unless Noémie NZUZI has provided prior written authorisation, the Client may not modify, alter or transform the photographs or creative works delivered. This includes, without limitation:

  • Additional retouching;

  • Filters or presets;

  • Changes to colour grading, lighting or visual rendering;

  • Photomontage;

  • Addition or removal of visual elements;

  • Modifications or transformations using artificial intelligence tools;

  • Addition of text, names, logos or graphic elements directly onto an image where such use has not been previously authorised.

Purely technical adaptations required for an authorised format, including reasonable resizing or cropping, may be made provided that they do not materially distort the work and remain within the scope of the authorised use.

Where a project requires the addition of a logo, text, slogan or graphic element, this may be expressly included in the applicable licence or separately approved in writing.

The Client must obtain prior approval before making any alteration that has not already been authorised.

19. Use by Third Parties

The licence granted to the Client benefits only the brands, companies, entities, accounts or other beneficiaries expressly identified in the applicable project agreement.

The technical transfer of files to an agency, printer, technical provider or other service provider solely for the purpose of carrying out an authorised use does not grant that third party any independent usage rights.

Any use by an affiliate, subsidiary, distributor, commercial partner, agency, media organisation or other third party not included in the licence requires prior approval where that entity intends to exploit the content for its own purposes.

20. Portfolio, Professional Communication and Confidentiality

Any use of project work by Noémie NZUZI for the purpose of presenting her work will be subject to the agreements applicable to the project, relevant image rights and any confidentiality obligations agreed between the Parties.

Where a project is subject to an embargo, confidentiality obligation or launch date, Noémie NZUZI will respect the agreed conditions before publication.

Where authorised, project work may be displayed in Noémie NZUZI’s portfolio, website, social media accounts and other professional communication materials.

21. File Retention

Noémie NZUZI will retain the final delivered files for 6 months from the date of final delivery.

During this period, the files may be made available again where they remain technically available.

After the six-month period, Noémie NZUZI does not guarantee continued storage, archiving or the ability to provide the files again.

The Client is therefore responsible for backing up and securely storing the files immediately after delivery.

Unless otherwise agreed, the six-month retention period does not constitute a permanent archiving service.

22. Exceptional Technical Incident

Noémie NZUZI will take reasonable professional precautions in relation to the creation, handling and storage of project content.

If, despite those precautions, an exceptional technical incident affects an essential part of the files — including serious data corruption or equipment failure — the Parties will first seek a reasonable solution allowing the affected part of the service to be recreated where possible.

Where recreating the affected work is impossible or clearly inappropriate, the Parties will determine the consequences relating to the part of the service that could not effectively be delivered, which may include reimbursement of the corresponding portion of the price.

Nothing in this Section excludes liability that cannot lawfully be excluded.

23. Force Majeure

Neither Party will be liable for a failure or delay in performing its obligations where that failure or delay results from an event legally qualifying as force majeure under applicable law.

The affected Party will inform the other Party as soon as reasonably possible.

Where circumstances permit, the Parties will first seek an appropriate rescheduling or alternative arrangement.

24. Liability

Noémie NZUZI will exercise reasonable professional care in performing the agreed services.

Noémie NZUZI will not be responsible for consequences directly resulting from the Client’s failure to comply with its own obligations, including delay, absence, late or inaccurate information, late changes to the project or failure to obtain an authorisation for which the Client was responsible.

Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited.

25. Personal Data

Personal data required for enquiries, quotations, bookings, services, invoicing and professional communications is processed in accordance with the Privacy Policy available on noemienzuzi.com.

26. Governing Law and Disputes

These Terms & Conditions are governed by French law. If a dispute arises regarding the interpretation, performance or termination of a service, the Parties agree to first attempt to resolve the matter amicably and in good faith.

If no amicable resolution can be reached, the dispute will be submitted to the competent court in accordance with applicable rules of jurisdiction.
